Shaun practices with the Business Counseling, Financial Services, Public-Private Partnerships, and Real Estate groups and is Chair of the Firm's Securities Group.
Shaun serves as outside general counsel to national manufacturing, real estate, agricultural, and services companies, providing advice on a wide range of matters including acquisitions and dispositions, debt and equity financing (including public and private offerings), business planning, corporate and partnership structure, succession planning, contracting, commercial leasing, and general business counseling.
Shaun is a frequent lecturer on a variety of legal issues. He has provided accredited continuing legal education to fellow lawyers on the following seminar topics: Mergers and Acquisitions, Commercial Lending, Due Diligence Investigations for Transactional Lawyers, Limited Partnership Agreements, Acquisition Agreements, Real Estate Finance Agreements, Fundamentals of Pennsylvania Business Corporation Practice, Corporate Meetings for Closely Held Businesses, Preparing LLC Documents, Agency Law, and Contract Law in the Electronic Age.
During his twenty-five year career, Shaun has also represented clients in several specialty areas, including:
- Initial and secondary public offerings and market listings of equity securities
- Investment Company Act and Investment Advisers Act compliance
- Affordable housing tax credit projects
- Insurance regulatory matters
- Auction law for the world's largest Standardbred breeding farm and sales company
- Real estate development of major retail centers
Shaun spent several years early in his career as a Philadelphia litigator, so he brings an understanding of the litigation process to his business counseling advice.
Currently, to enhance the tax component of his business analysis, Shaun is enrolled in the Villanova University School of Law Graduate Tax Program.
Shaun earned a black belt in Korean martial arts (Jung Sim Do) in December 2006.
